1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the Upskill Online Institute LLC website and online learning platform (the "Service"), operated by Upskill Online Institute LLC, a Delaware limited liability company ("Upskill," "we," "our," "us"). By creating an account, purchasing a course, or otherwise using the Service, you ("you," "your") agree to be bound by these Terms. If you don't agree, please don't use the Service.
2. Eligibility and Your Account
You must be 16 or older to create an account. You're responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately at hello@upskillonlineinstitute.com if you suspect unauthorized access. You may not share your account with others, transfer it, or create accounts using automated tools or false information.
You agree to provide accurate information when registering and to keep it up to date.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Copy, redistribute, mirror, or resell our course content;
- Reverse-engineer, decompile, or attempt to extract source code from the Service;
- Interfere with or disrupt the Service or its infrastructure;
- Use bots, scrapers, or other automated tools to access the Service, except where we explicitly provide an API for that purpose; and
- Impersonate any person or entity, or misrepresent your affiliation with one.
We may suspend or terminate accounts that violate these rules, with or without prior notice.
4. Our License to You
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use our course materials for your own individual learning. Courses are licensed to you, not sold — using the Service doesn't give you ownership or any intellectual property rights in our content. Commercial use of the Service or its content is not permitted unless covered by a separate written agreement with us. This license ends automatically if you violate these Terms.
5. Course Content
Our courses are provided for personal and professional development and continuing-education purposes. Upskill is not a degree-granting institution, and our certificates are not academic degrees or government-regulated qualifications. Whether a certificate is recognized or accepted by a particular employer, licensing body, or institution is entirely at that organization's discretion, and we make no guarantee of employment, licensure, or any other outcome from completing a course.
We are working toward formal accreditation/registration (including with relevant learning-provider registries) and will update our course pages and these Terms once that registration is confirmed. Until then, please don't rely on our courses as a substitute for a legally required qualification, license, or accredited training in your field.
We reserve the right to modify, update, or discontinue course content, assessments, or certification requirements at any time, without prior notice, though we'll aim to give reasonable notice for material changes.
By enrolling, you accept sole responsibility for how you use and apply the course content.
6. Your Content
If you submit materials to us (e.g., assignments, forum posts, survey responses), you retain ownership of them, but you grant us a license to use them as needed to operate the Service (for example, to grade assignments or display forum posts to other students). You're solely responsible for what you submit.
Feedback. If you send us suggestions or feedback about the Service, we may use it freely without any obligation or compensation to you.
7. Payment, Access, and Subscriptions
Prices are listed in U.S. dollars and charged at checkout via our payment processor (Stripe). Applicable taxes are added where required by law. We may change prices at any time; a price change won't affect a course you've already purchased.
Course access. Unless stated otherwise on the course page, a one-time purchase grants access for the period specified at checkout (not necessarily lifetime access). If access expires, you may be able to purchase an extension to regain it.
Subscriptions. If you purchase a subscription, you authorize us to automatically charge your payment method on a recurring basis at the then-current price until you cancel. You can cancel anytime through your account settings; cancellation stops future renewals but doesn't refund the current billing period, except where required by law.
8. Refunds
Because our courses are digital products with immediate access, purchases are generally non-refundable once you've accessed the course materials, except as required by applicable law.
If you're located somewhere with a statutory cooling-off period for digital content (for example, certain EU/UK consumer protections), contact us at hello@upskillonlineinstitute.com within 14 days of purchase and we'll review your request in good faith. Where such a right exists, accessing the digital content with your consent may result in the loss of your right to withdraw, consistent with applicable law — by purchasing and accessing a course, you consent to immediate delivery on that basis.
9. Intellectual Property
All course materials — including videos, text, audio, images, workbooks, and downloadable resources — belong to Upskill or our licensors and are protected by copyright and other intellectual property laws. You may not copy, redistribute, publicly display, or commercially exploit our materials without our prior written permission.
Copyright complaints. If you believe content on the Service infringes your copyright, email hello@upskillonlineinstitute.com with: a description of the work, the location of the infringing material, your contact details, a good-faith statement that the use is unauthorized, and a statement under penalty of perjury that you're the rights-holder or authorized to act on their behalf. We'll respond in accordance with applicable law, including the U.S. DMCA where relevant.
10. Third-Party Services
The Service relies on third-party providers for functions like payment processing, hosting, email delivery, and (in the future) analytics. Your use of the Service may be subject to those providers' own terms, and we aren't responsible for their availability or conduct. See our Privacy Policy for details on which providers we use and how they handle data.
11. Termination
You may close your account at any time by contacting us. We may suspend or terminate your account for violating these Terms, for security reasons, or as required by law. On termination, your access to course materials ends, though any certificate you've already earned remains valid.
12. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or completely secure.
No liability for course outcomes. To the fullest extent permitted by law, Upskill is not responsible for any harm, loss, or adverse outcome — physical, emotional, financial, or legal — resulting from your use or misuse of our course content. You're responsible for exercising professional judgment, seeking qualified supervision where appropriate, and complying with the laws and licensing requirements that apply to you.
13. Limitation of Liability
To the maximum extent permitted by law, Upskill and its officers, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenue, arising from your use of the Service. Our total cumulative liability to you for any claim relating to these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms limits liability that can't be limited under applicable law (for example, liability for fraud, or for death or personal injury caused by our negligence).
14. Indemnification
You agree to indemnify and hold harmless Upskill and its officers, employees, and agents from any claim, demand, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any third party's rights.
15. Governing Law, Arbitration, and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
Binding arbitration; class-action waiver. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that isn't resolved informally within 30 days will be resolved exclusively through binding individual arbitration, rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. This applies regardless of where you're located, except where a mandatory local consumer-protection law gives you a non-waivable right to sue in your home jurisdiction, in which case that right is preserved to the extent required by that law.
- Either party may bring an individual claim in small-claims court instead of arbitration, if it qualifies.
- Either party may seek injunctive relief in court to protect intellectual property rights.
- You and Upskill each waive the right to a jury trial and to bring or participate in a class, collective, or representative action. The arbitrator may not consolidate claims or preside over any class or representative proceeding.
- Arbitration will take place in, or be based on documents/telephonic proceedings tied to, Delaware, unless you and Upskill agree otherwise.
Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@upskillonlineinstitute.com with your name, account email, and a clear statement that you opt out of arbitration. Opting out doesn't affect any other part of these Terms.
16. General
These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Upskill regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor or affiliate. We're not liable for delays or failures caused by events beyond our reasonable control. You agree to receive notices from us electronically, and that this satisfies any requirement that communications be in writing.
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. We'll notify you of material changes by email or a notice on the Service. Continued use after a change means you accept the revised Terms.
